Terms & Conditions of Sale

The ‘Seller’ means KOSMOS (UK) LTD

The ‘Buyer’ means the person or company contracting with the Seller, whose order for the goods is accepted by the Seller.

‘Goods’ shall include all goods and services supplied by the Seller under the terms hereof. ‘Conditions’ mean the standard terms and conditions of sale set out in this document and includes any special terms and conditions set out in writing between the Buyer and Seller.

Neither the title nor the property of the goods sahll pass to the Buyer until payment has been made in full. Risk in the goods shall pass to the Buyer upon delivery, whether or not the title to the goods shall pass to the Buyer.

Orders are accepted subject to the goods being available,. The Seller will not be liable for any delay in delivery or failure to deliver where such delay or failure is caused by circumstances beyond the Sellers control.

The Buyer must advise the Seller and the carrier in writing within three days of delivery of loss or shortage of or damage to any goods, and allow the Seller immediate rights to inspection and investigation.

The Seller shall not be liable in any way for shortage, partial loss or damage unless the Buyer complies with this condition.

The goods are not manufactured by the Seller, and the Seller does not give any warranty, guarantee or other terms as to their quality or their fitness for purpose, but shall where possible assign to the Buyer any benefit of such warranty or guarantee or other term as given by the manufacturer to the Seller.

The Seller shall not be liable for costs, expenses or claims for consequential compensation howsoever arisen, from, or in connection with the supply of the goods.

If, in the event, any goods are found to be faulty, the Seller’s liability shall not exceed the value of the faulty goods. The Seller accepts no responsibility for damages incurred as a result of the goods being misused or installed incorrectly.

Any information contained in any specifications, illustrations, drawings, catalogues or any other documents must be regarded as approximate, and are not binding upon the Seller.


Prices are subject to VAT at current rates

Unless otherwise agreed between the Buyer and Seller, the goods shall be delivered Ex Works, with carriage charged at cost.

Payment for authorised accounts are to be 30 days from the date of invoice.

If the Buyer fails to make any payment by the due date, the Seller shall be entitled to cancel the contract and suspend any further deliveries to the Buyer, and to charge interest at 3% per month compounded until payment is made in full, or at our discretion, in line with the legislation of late payment of commercial debts.

In the event that the Buyer fails to make payment for the goods by the due date, the Seller will charge the Buyer with all costs incurred in collecting the payment, including legal and agents fees.

The Buyer shall not be entitiled to withold payment of the agreed price because of any disputed claim of

the Buyer against the Seller.

The contract shall be governed by English Law.

All orders are accepted only on the understanding that the Buyer has read and fully understand the above Terms and Conditions of Sale applicable to all transactions, and agree to abide with the said Terms and Conditions
